Buy a gas station in California

California is the highest-priced market for gas stations in the country, and also one of the deepest: busy freeways, dense suburbs and stations that rarely come up in the best corners. Here is what California buyers should know before making an offer.

The California market right now

256 gas stations, c-stores and truck stops were listed for sale in California in our daily index, with a median asking price of $2.6M. The middle half asked between $1M and $4.9M, and most included the real estate.

Source: Global Petro Advisors’ daily index of public California gas station and c-store listings, October 19, 2026 (240 with an asking price; car washes, land, sold and other non-station listings removed). Asking prices, not sale prices. For how stations are actually priced, see how much gas stations sell for.

  • California prices sit well above the rest of the country, driven by land values, so most of the money is in the real estate. Run the numbers on the land and the business separately.
  • Freeway and interchange sites on I-5, I-10, I-15, I-40, Highway 99 and US-101 carry heavy diesel and travel traffic. Inland Empire and Central Valley stations often price below coastal metros.
  • California's statewide ban on flavored tobacco (Proposition 31, 2022) cut a big product line, so read older tobacco sales in a P&L carefully.

1. Financing a California gas station

Most buyers use an SBA loan. An SBA 7(a) loan (up to $5 million) can cover the business, the property, equipment and working capital. An SBA 504 loan is built for the real estate: roughly 50% from the bank, 40% from an SBA-backed lender and 10% from you, often 15% because lenders treat gas stations as special-purpose property. Plan on about 10 to 20% down overall, plus inventory at closing, and have proof of funds ready for your offer.

2. Tanks and environmental checks in California

In California, the State Water Resources Control Board runs the underground tank program and local agencies (CUPAs) issue the operating permits and do the yearly inspections. State law required every single-walled underground tank to be permanently closed by the end of 2025, so confirm the station runs on double-walled tanks.

Ask for the CUPA operating permit, recent inspection and monitoring reports, tank install dates and any open or closed leak case. Dispensers also need vapor recovery equipment approved by the state air board and a permit from the local air district. Your lender will order a Phase I either way.

3. Licenses and permits in California

Beer and wine to go needs an off-sale beer and wine license (Type 20) from the Department of Alcoholic Beverage Control, and at a fuel station the city or county permit often adds conditions, so confirm the license and its conditions transfer with the sale. The lottery contract is issued in your name by the California Lottery, and tobacco needs a retailer's license from the CDTFA. Plan the transfers early so they don’t hold up closing.

4. Check the numbers and the contracts

Match tax returns to P&Ls, monthly fuel gallons to supplier statements, and inside sales to POS reports. Read the fuel supply agreement for term, gallons owed, assignment rules and any payback of incentives, and if the land is leased, confirm the years left. Our guide on fuel supply contracts explains what to look for.

5. Make an offer and close

Offers go in as a Letter of Intent with price, deposit, a 30 to 60 day due diligence period, financing terms and inventory at cost. Then come the Phase I, lender approval, license transfers, the supplier’s consent, an inventory count and the keys. The full path is in how to buy a business.
