Buy a gas station in New York

New York has one of the largest pools of gas stations for sale, from Long Island and the Hudson Valley to upstate highway exits. Rules here differ from most states in a few ways that change what a station earns, so here is what to know before you make an offer.

The New York market right now

237 gas stations, c-stores and truck stops were listed for sale in New York in our daily index, with a median asking price of $900K. The middle half asked between $322K and $1.8M, and most included the real estate.

Asking prices, not sale prices. For how stations are actually priced, see how much gas stations sell for.

  • Downstate stations (Long Island, Westchester, the city boroughs) price on land value and traffic; upstate stations along the Thruway, I-81, I-84 and I-86 usually ask much less.
  • Stores in New York can sell beer but not wine or liquor, so inside sales lean on beer, tobacco, lottery and food.
  • Many listings are business-only on a lease or a supply deal with a fuel distributor. Check the lease term and the supply contract as closely as the price.

1. Financing a New York gas station

Most buyers use an SBA loan. An SBA 7(a) loan (up to $5 million) can cover the business, the property, equipment and working capital. An SBA 504 loan is built for the real estate: roughly 50% from the bank, 40% from an SBA-backed lender and 10% from you, often 15% because lenders treat gas stations as special-purpose property. Plan on about 10 to 20% down overall, plus inventory at closing, and have proof of funds ready for your offer.

2. Tanks and environmental checks in New York

In New York, the Department of Environmental Conservation (DEC) runs the Petroleum Bulk Storage program. A site that stores more than 1,100 gallons of petroleum must be registered, the registration renews every five years, and a new owner has to file an updated registration after the sale. Suffolk County and New York City add their own tank rules on top.

Ask for the DEC registration, tank test and monitoring records, tank install dates and any spill case number with its closure letter. You can look up a station's tank registration on DEC's public database. Your lender will order a Phase I either way.

3. Licenses and permits in New York

Beer to go needs an off-premises beer license from the State Liquor Authority, and a license does not simply transfer with the business: the new owner files a new application, so start early. The lottery contract comes from the New York Lottery, and tobacco needs a retail dealer registration with the Department of Taxation and Finance. Flavored vape products are banned statewide. Plan the transfers early so they don’t hold up closing.

4. Check the numbers and the contracts

Match tax returns to P&Ls, monthly fuel gallons to supplier statements, and inside sales to POS reports. Read the fuel supply agreement for term, gallons owed, assignment rules and any payback of incentives, and if the land is leased, confirm the years left. Our guide on fuel supply contracts explains what to look for.

5. Make an offer and close

Offers go in as a Letter of Intent with price, deposit, a 30 to 60 day due diligence period, financing terms and inventory at cost. Then come the Phase I, lender approval, license transfers, the supplier’s consent, an inventory count and the keys. The full path is in how to buy a business.
